1. Overview and Acceptance
Welcome to Wave. These Terms of Service ("Terms") govern your access to and use of the Wave mobile application and website (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Wave, you represent and warrant that you meet these eligibility requirements.
3. Accounts
To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Wave immediately of any unauthorized use of your account.
4. Booking & Payments
Wave enables you to book marine services from independent service providers. All pricing is displayed at the time of booking. Payment is processed through the app. Cancellation policies vary by service and provider; please review the applicable policy before confirming your booking. Wave may charge service fees in addition to the provider's rates.
5. Service Provider Marketplace Disclaimer
Wave operates as a marketplace that connects boat owners with independent marine service providers. Wave does not employ these providers and does not directly perform any services. All services are fulfilled by independent providers who are solely responsible for the quality and completion of their work. Wave is not liable for any acts, omissions, or negligence of service providers.
6. User Content
You may submit content to the Service, including photos, reviews, and other materials ("User Content"). You retain ownership of your User Content but grant Wave a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content in connection with the Service. You represent that you have all necessary rights to submit your User Content.
7. Prohibited Conduct
You agree not to: (a) use the Service for any unlawful purpose; (b) harass, abuse, or harm other users or providers; (c) interfere with or disrupt the Service; (d) submit false or misleading information; (e) circumvent any security measures; or (f) use the Service to compete with Wave.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Wave and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WAVE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WAVE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. WAVE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO WAVE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Wave and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another.
12. Changes to Terms
Wave reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
